Adyen shareholders approve Chris Vogelzang for the Supervisory Board as Herna Verhagen prepares to take the chair
What happened
At an Extraordinary General Meeting in Amsterdam on 7 October 2026, Adyen shareholders approved the appointment of Chris Vogelzang, formerly chief executive of Danske Bank and currently a non-executive director at Lloyds Banking Group, as a member of the Supervisory Board. The same release confirms that Piero Overmars formally retires from the Supervisory Board on 1 November 2026 and that Herna Verhagen succeeds him as Chair on that date.
The meeting also discussed a governance update to Adyen's executive leadership model, which takes effect on 31 January 2027.
Why it matters
Adyen is one of the largest acquirers in Europe, and this settles the top of its non-executive structure for the next board cycle: a new Chair from 1 November and a bank-side appointee joining the Audit and Risk Committee. It lands alongside a management-board transition already under way, with Niclas Neglen arriving as CFO on 1 February 2027 and the executive leadership model changing on 31 January 2027, so the oversight and the executive layer both turn over inside four months.
What to watch
Whether the executive leadership model published before 31 January 2027 redistributes responsibilities across the Management Board, and whether Neglen's appointment clears De Nederlandsche Bank and a shareholder vote in time for the 1 February 2027 start date.
