Barclays enters strategic partnership with Brookfield to carve out merchant acquiring as standalone entity
What happened
On 17 April 2025, Barclays and Brookfield announced a partnership to transform Barclays' merchant acquiring into a standalone entity (Barclaycard Payments). Barclays retains full ownership initially, invests £400M in first 3 years. Brookfield may acquire ~70% between years 3-7. Business processes billions in UK payments but has lost share to Adyen, Stripe, Dojo. Exclusive Barclays provider for minimum 10 years.
Why it matters
Carve-out fundamentally changes procurement and technology decision-making for one of the UK's largest acquirers. Brookfield's PE playbook (Network International, Magnati) indicates aggressive operational transformation. £400M could accelerate terminal refresh but equally trigger competitive re-evaluation of hardware suppliers.
